Union Pacific seeks an experienced transaction attorney to join its legal department in Omaha to serve as counsel in the areas of commercial and business venture transactions, pro curement transactions, corporate governance, securities regulation, and corporate finance. This high profile position interacts with Company officers and executives and coordinates legal services with the in-house legal team and retained counsel.
Provide legal counsel to complex and mission critical commercial transactions for procurement of materials and services.
Scope, develop, negotiate and draft corporate finance documentation to support business opportunities and reduce operational risk in furtherance of the Company's capital strategy.
Provide corporate law, corporate governance and corporate secretary services for subsidiaries and business ventures both domestic and international.
Assist the Law Department in improving the delivery of legal services by educating and supporting clients with the design and implementation of processes and tools to reduce variability and improve efficiency.
Provide legal counsel regarding technology agreements and deve lopment and protection of the Company's intellectual property.
Manage retained counsel and legal consultants and associated budgets.
Manage paraprofessionals and legal staff.
Provide legal counsel regarding strategic acquisitions and sales by the Company and its affiliates.
A Juris Doctorate degree from an accredited institution
Licensed to practice law and admission to a state bar
Minimum 3 years experience practicing law and representing clients in general corporate, financial and transactional matters
Effective interpersonal skills and strong initiative
Superior academic credentials and exceptional drafting and negotiation skills
Ability to travel on occasion
