Serve as legal counsel to internal clients (including IT and Supply Departments) in the areas of general commercial and transactional law, focusing on! the areas of information technology and procurement of equipment and materials. Attorney will counsel clients on strategic decisions to optimize Union Pacific's information technology and railroad assets for operations and financial results, and provide advice and assistance with respect to commercial contracts involving the sale, licensing or other disposition of intellectual property and the lease, acquisition, sale or other disposition of materials and equipment necessary for railroad operations. Additionally, experience with commercial contracts under the UCC, quality control processes, and commercial dispute resolutions is desirable, along with familiarity with real estate transactions.
This position will be filled as an Assistant General Attorney or General Attorney in Law, depending on experience. This is a C or C1 Band position in the Corporate Law group within the Law Department. Seeking candidates that are licensed to practice in at least one state, incl! uding Nebraska. Candidates must have at least 5 years of exper! ience practicing law.
Accountabilities:
- Counsels clients on risk mitigation, strategic planning, policy advice and interpretation, business planning, opportunities to advance corporate goals, interpretation of legal rights and obligations, and identification and analysis of leverage points and constraints in commercial transactions.
- Ensures company policy and standards comply with legal requirements.
- Provides legal services associated with a variety of commercial transactions.
- Provides legal services and counseling focused in the areas of information technology and equipment and materials procurement.
- May oversee commercial litigation, managing retained counsel and internal resources.
- Focus on improving quality and efficiency of legal services provided by the Department.
- Educates clients and provide tools (e.g., standard forms, FAQs) to streamline routine matters. Assists clients with design ! and implementation of processes and tools to reduce variability and improve efficiency.
- Provides counsel on strategic decision to optimize the company's informational technology and railroad assets for operations and financial results.
