FastPay is seeking an experienced General Counsel with a proven track record in commercial finance law to lead our legal efforts. The successful candidate will provide counsel on all legal matters involving the Company and coordinate relationships with all outside firms, oversee the day to day performance of the FastPay’s programs to ensure ongoing compliance with laws, rules and regulations, and ensure the company’s business and legal objectives are met.
At FastPay, you’ll be working with a best-in-class team of finance and technology professionals working on the forefront of creating the next generation of commercial finance prod! ucts and services. As the General Counsel, you will report to ! the CEO and will be the leader of a growing legal department. The work will not be limited to financial contracts, transactions, or disputes as FastPay is rapidly growing and looking to significantly reduce the legal load that has traditionally been required of the CEO. As the company evolves, this role will become increasingly important as the deals get larger and the stakes get higher. The ideal candidate is someone looking to break out of the traditional law firm environment and be a part of a team that is truly revolutionizing how digital companies are financed.
Responsibilities:
Offer counsel on a variety of legal issues to executive management and staff
Coordinate and manage outside counsel as necessary
Negotiate and draft lending agreements, contracts and amendments, including inter-creditor agreements with other lenders and modifications to our client legal documents
Analyze and monitor active judgments and liens impacting our portfol! io
Keep abreast of regulatory and legislative changes that may affect the company and train management on relevant issues with regard to evolving UCC law and other substantive legal topics
Inform senior management in all relevant compliance topics, while monitoring current activities to report any issues
Work with regulatory agencies as necessary to keep core business compliant with all applicable law
Assist with corporate planning and risk management, providing assistance on strategic partnerships as necessary
Perform pre-litigation work to minimize risks and maximize legal rights
Review advertising and marketing materials to ensure compliance with any applicable legal requirements.
Job Requirements:
The General Counsel should have a minimum of 5 years of commercial legal experience with background and interpersonal skills sufficient to function successfully in a visible and challenging position. In addition, it is desirable for ! the successful candidate to have the following background:
Previous! experience as either the General Counsel of a financial institution or as an attorney at a top law firm with a practice that includes advising financial institutions.
A diverse corporate legal background including negotiation experience and general corporate exposure to sophisticated corporate matters.
In-depth understanding of the UCC, commercial liens, commercial finance and lending.
Litigation and employment law experience are preferred but not required.
Familiarity with technology/software and web-based solutions, especially ad tech, is a plus.
Hold a law degree from an accredited United States law school and be a member in good standing of the bar of California or New York.
