Corporate Attorney in the Legal department
at our corporate office in Sidney, NE.
JOB DESCRIPTION:
The Corporate Attorney assists in protecting the organization's legal interests and maintaining its operations within the scope of the law. Provides counsel to all levels of management. The attorney will be responsible for identifying and analyzing legal issues, drafting documents, presenting clear recommendations, and assuring legal compliance.
KEY DUTIES:
General Corporate - Reviewing and drafting contracts, policies, and procedures, coordinating transactions, advising management on various legal and compliance issues, and preparing or supervising the preparation of stock plans, equity agreements, proprietary matters agreements, benefit plans, and benefit plan prospectuses.
NYSE and SEC Compliance - Preparing or supervising the preparation of annual proxy statement! , 8-Ks, and Section 16 reports, assisting in the preparation o! f 10-Ks and 10-Qs, filing NYSE reports, reviewing press releases, investor presentations, and scripts for earnings calls.
Insider Trading Compliance Officer - Pre-approving trades, managing blackout periods, reviewing and approving 10b5-1 plans, ensuring compliance with Section 16 and Rule 144, and preparing legal opinions for transfer of restricted stock.
Assistant Secretary/Corporate Governance - Assist Secretary in preparing minutes, agendas, and compliance calendars for Board and Board committees, coordinating preparation of Board books, and monitoring corporate governance practices and recommending changes as necessary.
EDUCATION AND EXPERIENCE:
Doctoral degree
6-8+ years of experience
Active law license
